Entity se lection can be a critical decision for businesses. In this class, we'll con trast the basic business entities - Sole Proprietorships, General Partnersh ips, LLCs, C Corporations, and S Corporations - by looking at filing requir ements, liability and taxes. We'll examine the advantages and disadvantages of each entity and identify favorable entity choices for different situati ons. Then we'll look at how, and if, an entity can change its selection. We 'll compare the different entities' in dissolution, and consider the effect s on the business. Finally, we'll identify which changes can be made, summa rized in a simple chart.

Linda Dong graduated with honors from the Universi
ty of Illinois in Chicago with a degree in Accounting. She went to work for
the IRS, where she received a very thorough training in taxes and began au
diting corporations. Linda left the IRS and started a tax and accounting pr
actice from her home. She grew her practice to include 4 employees, but dow
nsized and is now once again a sole practitioner working out of her home of
fice. Linda has been an Enrolled Agent since 1982. Her credentials from the
AccreditationCouncil of Accountancy and Taxation (ACAT) include Accredited
Business Accountant (ABA) and accredited Tax Advisor (ATA). She is a Quick
books ProAdvisor and frequently teaches classes in accounting and tax to ot
her professionals. She is currently serving as First Vice President of the
California Society of Tax Consultants and Secretary-Treasurer of the Wine C
ountry Chapter.
