Entity selection can be a critical decision for businesses. In this class we will contrast the b asic business entities - Sole Proprietorships, General Partnerships, LLCs, C Corporations, and S Corporations - by looking at filing requirements, lia bility and taxes. We will examine the advantages and disadvantages of each entity and identify choices for different situations. Then we will look at how, and if, an entity can change its selection and become a different enti ty. We will compare the different entities in dissolution, and consider the tax effects of each. Finally, we will identify which changes can be made b y each entity, summarize in a simple chart

strong>Linda Dong, EA, ABA
Linda Dong graduated with honors from the University of
Illinois in Chicago with a degree in Accounting. She went to work for the
IRS, where she received a very thorough training in taxes and began auditin
g corporations. Not liking the adversarial relationship inherent in tax aud
its, Linda left the IRS and started a tax and accounting practice from her
home. She grew her practice to include four employees, but eventually downs
ized and is now once again a sole practitioner working out of her home offi
ce. She provides tax and accounting services to individuals, small business
es, and nonprofit organizations. Linda has been an Enrolled Agent (EA) sinc
e 1982. Her credentials from the Accreditation Council of Accountancy and T
axation (ACAT) include Accredited Business Accountant (ABA) and Accredited
Tax Advisor (ATA). She is a QuickBooks ProAdvisor and frequently teaches cl
asses in accounting and tax to other professionals. A member of several tax
and accounting professional groups, she is currently serving as President
of the California Society of Tax Consultants and Secretary-Treasurer of the
Wine Country Chapter.
