Description:

Entity selection can be a critical decision for businesses. In this class, we'll contrast the basic business entities - Sole Proprietorships, General Partnerships, LLCs, C Corporations, and S Corporations - by looking at filing requirements, liability and taxes. We'll examine the advantages and disadvantages of each entity and identify favorable entity choices for different situations. Then we'll look at how, and if, an entity can change its selection. We'll compare the different entities' in dissolution, and consider the effects on the business. Finally, we'll identify which changes can be made, summarized in a simple chart.
