This presentation will explain how a Limited Liability Company is the least complex business structure to protect both your company and your own assets. A Limited Liability Company (LLC) is a corporate structure in the United States whereby the owners are not personally liability for the company's debts or liabilities. Limited liability companies are hybrid entities that combine the characteristics of a corporation with those of a partnership or sole proprietorship.We will go through the process of setting up, preparing and dissolving of a Limited Liability Company.Also, discuss the advantages and disadvantages of being an LLC.

Jennifer A. Reardon, CPA, MBA, JD, LL.M. and Lauren Suarez, Atty

Jennifer Reardon
is an associate attorney at RJS Law. Ms. Reardon focuses her practice on estate planning and tax law. She advises individuals, families, and entrepreneurs on the creation of trusts, wills, advance health care directives, general durable power of attorney, and property agreements. The primary goals of Ms. Reardon’s estate planning strategy are to minimize tax consequences, secure a client’s legacy, and avoid the cost and delay of probate. Prior to becoming an attorney, Ms. Reardon had a successful career as a CPA working in public accounting, private industry, and non-profit organizations, including Fortune 500 and Forbes Global 2000 companies. Her work included various industries, such as: manufacturing, construction, real estate, healthcare, education, financial institutions, and public broadcasting. Ms. Reardon received her Juris Doctor and Master of Law in Taxation from University of San Diego, School of Law. During law school, Ms. Reardon was an extern with the IRS, Office of Chief Counsel where she reviewed offers in compromise, drafted pre-trial memos, and won a motion for summary judgment in tax court. To round out her tax experience, Ms. Reardon interned at the federal income tax clinic and state sales and use tax clinic where she helped low-income taxpayers with their disputes with the IRS and California Department of Tax and Fee Administration, formerly known as the Board of Equalization. During law school, Ms. Reardon was a member of the University of San Diego Tax Law Society. Ms. Reardon received her Bachelor of Business Administration in Accounting from Washburn University and a Master of Business Administration from Rockhurst University. Ms. Reardon received her CPA license on September 1, 1999.Originally from Kansas City, Ms. Reardon moved 17 years ago and now calls San Diego home. Ms. Reardon spends her downtime with her two boys, ages 11 and 13, and her King Charles Cavalier. She also enjoys international travel and discovered her favorite beach in Varadero, Cuba. Lauren Suarez is an associate attorney in our office. Ms. Suarez assists our attorneys with multiple client matters before the Internal Revenue Service (IRS), Franchise Tax Board (FTB), Employment Development Department (EDD), and the State Board of Equalization (SBOE).Prior to joining our firm, Ms. Suarez was a tax associate at BDO USA, LLP where she worked in the compliance area of tax return preparation for corporations, partnerships, and individuals. She also acquired a large amount of sales and use tax knowledge from previous industry experiences.Ms. Suarez was born and raised in San Diego, California. She attended Loyola University of Chicago for her undergraduate work where she majored in English with minors in Political Science and Business Administration. After college she went on to receive her Juris Doctor with a concentration in Business and Taxation from the University of the Pacific McGeorge School of Law in Sacramento, CA. While at McGeorge, Ms. Suarez was a member of the McGeorge Tax Law Society, participated in the Volunteer Income Tax Assistance Program, and was involved in the Franchise Tax Board internships for sales and use and income tax.
