Attendees will learn about the proposed changes to federal tax and estate laws, how these changes may affect wealth transfer and trusts, and how to adapt estate plans based on the new regulations. Additionally, the panel will dive into the ins and outs of EDD audits and everything to know to protect yourself or your clients.

Devon Arabo, Esq., LL.M. - Of Counsel at RJS LAW
Devon J. Arabo is Of Counsel & Co-Chief of Operations at our firm, where he has worked for over 16 years. Mr. Araborepresents clients before the Internal Revenue Service(IRS), Franchise Tax Board (FTB), Employment Development Department (EDD), and California Department of Tax and Fee Administration (CDTFA). Mr. Arabo represents clients facing tax-related issues before various state and federal taxing authorities. His thoughtful strategy and compassionate advocacy have saved his clients millions of dollars and earned them priceless peace of mind. Notably, he recently saved a client over $1 million in a complex IRS audit involving an initial liability of more than $1.7 million—successfully settling the matter for just $450,000. Mr. Arabo’s commitment to excellence and client advocacy has earned him a stellar reputation throughout the community. He began honing his business acumen while providing administrative assistance to Shamoun Investments Co., where he facilitated multimillion-dollar transactions, including significant property acquisitions and sales.Mr. Arabo is a proud “Triple Torero,” having graduated from the University of San Diego with three degrees. Mr. Arabo earned his Bachelor of Accountancy with a minor in both Finance and Real Estate. Aspart of his undergraduate experience, Mr. Arabo was an involved member of USD’s Accounting Society. Mr. Arabo continued to earn Juris Doctor (JD) from the University of San Diego School of Law. During law school, Mr. Arabo was a member of the Tax Law Society and Middle Eastern Law Student Association. In his second year of law school, Mr. Arabo served as the American Bar Association (ABA) Chair where he assisted students with registering with the ABA, which is the largest professional organization for practicing attorneys. After graduating law school, Mr. Arabo continued his educational journey by obtaining his Master of Laws in Taxation (LL.M) from the University of San Diego School of Law. Mr. Arabo’s professional excellence has been widely recognized. He was named one of San Diego’s Top Attorneys in 2023; selected for SD Metro Magazine’s 40 Under 40 in 2023, 2024, and 2025; and honored as a 2025 Super Lawyers Rising Star—a designation reserved for attorneys who exhibit excellence inpractice, based on peer recognition and professional achievement. Born and raised in San Diego, Devon is a die-hard Padres fan and an active member of his community. Off the clock, he enjoys spending quality time with his wife Chanel and his young son Damon.

Brian Malloy, Esq. - Of Counsel at RJS LAW
Brian M. Malloy is Of Counsel with RJS LAW and co-chair of its trusts and estates practice group. Over the course of his career, Brian M Malloy has developed a well-rounded breadth of experience in trusts and estates, corporate and real estate transactions, and general business matters. He counsels families, business owners, and successful individuals in all areas of estate planning. His practice has focused on sophisticated family wealth and transfer tax planning, asset protection, complex trust and probate administrations, business succession planning, fiduciary representation, charitable planned giving, and non-profit tax-exempt organizations representation. Mr. Malloy also advises private and public companies with respect to entity formation, mergers and acquisitions, private capital, financial transactions, real estate matters, and commercial transactions in general and has been able to provide his clients with valuable and practical legal advice based on his experience serving as outside general counsel for many companies as well as in-house corporate counsel. He has also been actively involved in most asset classes of real estate throughout his career, including retail, office, industrial, multi-family, residential, and mixed use, and has creatively negotiated a wide variety of partnership, operating and related agreements. Prior to joining RJS LAW, Mr. Malloy previously served as in-house corporate counsel for a public company and was a partner at an AmLaw 100 law firm and co-chair of its Wealth Management, Probate,and Asset Protection practice group. Mr. Malloy received his Juris Doctor from California Western School of Law and his Bachelor of Science in Business Administration in Accounting and Finance from the University of Arizona, where he was a scholarship athlete and four-year letter winner in track and field.

Sam Imandoust, Esq., LL.M. - Of Counsel at RJS LAW
Sam Imandoust focuses his practice on tax controversy and tax planning. He has extensive experience representing clients in tax audits, appeals and collection matters before the Internal Revenue Service (IRS), California Franchise Tax Board (FTB), Employment Development Department (EDD), and California Department of Tax and Fee Administration (CDTFA). Prior to becoming Of Counsel with RJS LAW, Mr. Imandoust represented and advised clients for over ten years regarding tax controversy, tax planning, estate planning, corporate transactions, bankruptcy and real estate law. Mr. Imandoust also serves clients as outside general counsel, including a restaurant franchise with seven locations and over 600 employees. He earned his Juris Doctor (J.D.) from California Western School of Law and his Master of Laws in Taxation (LL.M.) from Thomas Jefferson School of Law. Mr. Imandoust is an adjunct professor in National University’s Master of Accountancy program and recently developed a new course titled: Legal Issues in Accounting while also teaching individual taxation and taxation of business and other entities. Mr. Imandoust currently resides in San Diego with his wife, Carolina, his daughter, Amelia, and his son, Sam Jr.


Joseph Cole, Esq., LL.M. – Senior Associate Attorney at RJS Law

Joseph Cole is a senior associate at our law firm. Mr. Cole assists our attorneys with client matters before the Internal Revenue Service (IRS), Franchise Tax Board (FTB), Employment Development Department (EDD), and the State Board of Equalization (SBOE). Prior to joining our firm, Mr. Cole was a Law Clerk at Liberty Mutual Insurance Company. Before joining RJS LAW, Mr.Cole advised clients on various tax, business Law, and estate planning matters. In addition, he has also helped hundreds of clients resolve tax problems before the IRS, California Franchise Tax Board, and other tax agencies. He earned his Juris Doctorate Degree with honors from the University of San Diego School of Law and also earned an LL.M. Degree in Taxation from the University of San Diego School of Law. During law school, Mr. Cole was a Lead Articles Editor for the San Diego International Law Journal and was a Dean’s Scholarship recipient. Before pursuing a career in law, Mr. Cole earned a Bachelor’s of Science degree from the University of California at Berkeley and worked as a Chemist.
